Proposed 7/11 – Corporate Structure

Assuming neutrality on the part of the City of Olympia, the three primary corporate structures are: The Seven & i Holdings Co, Ltd., chaired by Toshhifumi Suzuki and based in Tokyo, Japan, the MAJ Development Corporation with President Michael A. Jenkins from Vancouver, Washington and the 1919 Harrison, LLC, whose registered agent is George J. Narozonick of Olympia.

1.  THE SEVEN & I HOLDINGS CO, LTD.

The Seven & i Holdings, CO, Ltd was established on September 1, 2005 and is based in Tokyo, Japan. Its 2010 Annual Report indicates revenues of approximately “Y5.1 trillion” yen. (I calculate this to be around $57 billion dollars at 89 yen to one dollar.)

It operates 31,100 stores in Japan, China and North America making “7-Eleven the largest retail store chain in the world” and which work to create “a new comprehensive lifestyle industry” by integrating its own proprietary brands (Seven Premium) into it franchise operations. (Annual Report 2010)

U.S. Operation:

In November 2005, 7-Eleven, Inc, a Dallas based company, “became an indirect subsidiary of Seven & I Holdings company, a Japan-based organization.”  The company began in Dallas in 1927 and was re-named 7-Eleven, Inc in 1999.

According to the website: http://corp.7-eleven.com, 7-Eleven, Inc. operates, franchises and licenses close to 6,100 stores in the United States.  Its proprietary products include Big Gulp fountain soft drinks, Big Bite hot dogs and Slurpee beverages. Worldwide, 7-Eleven adds another store every 6 1/2 hours.

Of all U.S. retailers, 7-Eleven sells the most USA Today newspapers, cold beer, cold single-serve bottled water, cold Gatorade, fresh-grilled hot dogs and money orders. It also uses 365,000 pounds of glaze each month on its donuts, fritters and other pastries.

2.  THE MAJ DEVELOPMENT CORPORATION

The MAJ Development Corporation is “the applicant” to build a 711 at the corner of Harrison and Division. The corporation will be a two year old corporation, as of April 2011.

MAJ was registered as a profit corporation with the State of Washington’s Secretary of State’s office on April 21, 2009 and is set to expire on April 30, 2011, just about one month from today. Corporations are dissolved by the Secretary of State’s office if they do not renew their filing.

The President of the MAJ corporation is Michael A. Jenkins. He is the only officer of this “corporation” listed at the Washington Secretary of State’s web site.

Michael A. Jenkins is also a Principal/Broker with the Coldwell Banker firm of Jenkins-Berhardt Associates based in Vancouver, Washington.  His email there is MikeJ@CBCworldwidenw.com  — His phone number there, (360) 823-5102, is the same number he uses for the MAJ Corporation.

The address of the MAJ corporation is 1500 D Street in Vancouver, WA. The building at this address is one story with a single, front entrance. On that entrance door is a sign for Coldwell Banker. There is no sign for the MAJ corporation on the door or building.

The MAJ corporation appeared before the City of Tumwater Development Review Committee on February 10, 2011 for preliminary review of yet another 711  – 3,000 SF building and phase II 3,500 SF building on the NE corner of 6901 Capital Blvd South, across from Washington State Library at the intersection of Israel Rd. SE.

The “Representative” in each of these cases is Rachel Farrell of Group McKenzie, a design firm, with offices in Seattle, Vancouver and Portland. Rachel uses the Vancouver address.

3.  The 1919 HARRISON, LLC

This is the LLC that is listed as the “owner” of the site where the proposed 711 would be built a the corner of Harrison and Division.

This is a limited liability company that filed with the Corporation
Division of Washington’s Secretary of State on May 18, 2007 and is set to expire on May 31, 2011.  Its UBI number is: 602727102.

The registered agent is George J. Narozonick, 142 Sherman Street, NW, Olympia, WA. 98501.

There are four “Governing Persons” listed under the title Manager: Barbara Narazonick, Vila Narozonick and George Narozonick of Olympia and Linda Thompson of Rochester, Washington.

In early February 2010, the 1919 Harrison, LLC sent an application for Land Use Review to the City of Olympia for a “Harrison Financial Center, 6,132 SQ Ft.”  The status of this project is listed as “awaiting applicant action.”
